Terms for using Product Agent.

1. Agreement and provider

These Terms are between you and Luke Mortensen, an Australian sole trader trading as Product Agent (ABN 24 738 128 250), Queensland, Australia (“Product Agent”, “we”, “us”). By accepting these Terms, creating or using an account, or using a paid service after being given reasonable notice of these Terms, you agree to them.

You must be at least 18 and use Product Agent for business or commercial purposes. If you act for an organisation, you confirm that you have authority to bind it. If you do not agree, do not use the service.

2. Accounts and workspaces

Provide accurate account information, keep credentials and devices secure, and promptly report suspected compromise. You are responsible for people you authorise to use your workspace and for reviewing workspace roles and connected-store access. You must not share access in a way that bypasses plan limits or security controls.

3. Your content and responsibilities

You retain ownership of photos, product information, identifiers, listing data, and other material you submit. You grant Product Agent and its service providers a non-exclusive, worldwide, limited licence to host, copy, process, transform, transmit, display, and deliver that content only as reasonably required to provide, secure, support, and improve the requested service.

You confirm that you have all rights and permissions needed for submitted content and connected accounts. You are responsible for product legality and safety, intellectual-property clearance, truthful descriptions, pricing, taxes, condition, returns, regulatory disclosures, and compliance with destination rules. Do not submit personal or sensitive information that is unnecessary for a product-listing workflow.

4. AI-assisted output and auto dispatch

Product Agent may use automated systems and third-party AI or image-processing providers to clean or transform images, assist product identification, draft listing text, suggest categories or prices, and prepare delivery data. Outputs may be inaccurate, incomplete, visually inconsistent, commercially unsuitable, or rejected by a destination.

Review-first features help you check output, but do not replace your judgment. If you enable auto dispatch, you instruct Product Agent to send eligible output without a final manual review when configured checks pass. You accept the risk that automated output may still contain errors and remain responsible for promptly reviewing delivered listings and correcting or withdrawing them where necessary.

5. Connected platforms

You may connect only stores and destinations you are authorised to control. Product Agent may act within the permissions you grant to eBay, Shopify, WooCommerce, or another supported service. Those services are independent, remain governed by their own terms and policies, and may change, reject, remove, delay, or limit content or access.

Product Agent does not guarantee marketplace acceptance, ranking, sales, conversion, uptime, or continuing availability of any external integration.

6. Subscriptions, credits, cancellation, and refunds

Self-service subscriptions and listing packs are purchased through Google Play unless another written commercial agreement applies. Prices, billing periods, renewal details, taxes, payment methods, and purchase confirmation are displayed by Google Play. Subscriptions automatically renew until cancelled through Google Play.

• AI Enhanced Listing currently uses 5 listing credits for a successful product workflow.
• Monthly and annual paid plans receive credits monthly; an annual plan is billed annually.
• Eligible unused subscription credits may roll over subject to the current plan cap.
• Purchased listing-pack credits do not expire unless law or the purchase terms require otherwise.
• Failed eligible workflows release reserved credits; successful user-requested regeneration may use additional credits.

We may reconcile, remove, or reverse credits where a purchase is refunded, reversed, charged back, duplicated, fraudulent, or reported invalid. Deleting a Product Agent account does not cancel a Google Play subscription. See Refunds & Billing.

7. Acceptable use

Do not use Product Agent for unlawful, deceptive, fraudulent, infringing, counterfeit, unsafe, abusive, or unauthorised activity. Do not bypass or probe billing, credits, quotas, App Check, authentication, workspace controls, provider restrictions, or technical safeguards; scrape or harvest credentials; introduce malware; overload the service; impersonate others; or use the service to publish prohibited goods or misleading claims.

We may investigate suspected misuse and cooperate with lawful requests. If your content causes a third-party claim because you lacked required rights, authority, or legal compliance, you agree—subject to applicable law—to indemnify Product Agent for reasonable losses and defence costs directly resulting from that claim, provided we notify you and take reasonable steps to mitigate loss. This clause does not apply to loss caused by Product Agent’s own breach, negligence, fraud, or wilful misconduct.

8. Availability and changes

The service is provided on an available basis. Features, providers, destinations, plans, limits, and packaging may change for security, legal, operational, provider, or product reasons. We will provide reasonable notice of material changes where practicable. Material Terms changes may require renewed acceptance; continuing to use the service after a non-material notified change may constitute acceptance where permitted by law.

9. Consumer rights, disclaimers, and liability

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, remedy, or liability that cannot lawfully be excluded, including rights under the Australian Consumer Law.

To the maximum extent permitted by law, Product Agent does not warrant uninterrupted availability, error-free AI output, marketplace acceptance, sales performance, data recovery, or a particular commercial result. Product Agent is not liable for indirect or consequential loss, lost profit, lost opportunity, marketplace action, or loss caused by a third-party platform, except to the extent such liability cannot lawfully be excluded.

For liability that can lawfully be limited, Product Agent’s aggregate direct liability arising from the service is limited to the fees you paid for the affected service during the 12 months before the event giving rise to the claim. This limitation does not apply to fraud, wilful misconduct, personal injury caused by negligence, breach of confidentiality or privacy obligations, or other liability that cannot lawfully be limited.

10. Suspension and termination

You may stop using the service and request account deletion at any time. We may reasonably suspend or restrict access to protect users or the service, address security or fraud, respond to non-payment, comply with law, or investigate a material breach. Where practicable, we will explain the reason and provide a path to correct the issue. We may terminate for an uncured material breach or where continued service would be unlawful or create material security risk.

Sections that by nature should continue—including ownership, accrued payment obligations, risk allocation, dispute provisions, and retained legal records—survive termination.

11. Complaints, governing law, and contact

These Terms are governed by Queensland law and the parties submit to the courts of Queensland and competent Commonwealth courts, without limiting any mandatory right to bring a claim elsewhere. Before commencing proceedings, contact us and allow a reasonable opportunity to resolve the dispute, except where urgent relief is needed.
